Welcome to TMCodez. These Terms and Conditions govern your access to and use of the TM Codez website, services, content, and related digital platforms.
By visiting our website, submitting an inquiry, purchasing a service, or engaging TM Codez for professional services, you agree to these Terms and Conditions. If you do not agree with these terms, please do not use our website or services.
TM Codez provides digital marketing and technology solutions, which may include:
The exact scope of work, deliverables, fees, timelines, and responsibilities may vary depending on the service purchased and will be defined in the applicable proposal, quotation, agreement, invoice, or written communication.
You may access and use the TM Codez website for lawful purposes and in accordance with these Terms and Conditions.
You agree not to:
TM Codez may restrict or terminate access to the website where we reasonably believe these terms have been violated.
Unless otherwise stated, the content and materials available through the TM Codez website are owned by or licensed to TM Codez.
This may include:
These materials are protected by applicable intellectual property and copyright laws.
You may not reproduce, redistribute, sell, modify, publish, or commercially exploit TM Codez materials without prior written permission.
Where a project involves third-party assets, software, stock materials, plugins, themes, fonts, APIs, or other licensed resources, their use may also be subject to the applicable third-party license terms.
Successful delivery of our services may require information, access, approvals, and cooperation from the client.
Clients agree to:
Delays in providing information, access, approvals, or feedback may affect project schedules and delivery dates.
TM Codez is not responsible for delays caused by information, access, approvals, or materials that the client has not provided on time.
Digital marketing and SEO involve third-party platforms and search engines whose algorithms, policies, pricing, availability, and functionality are outside TM Codez's control.
While we use professional strategies and reasonable efforts to improve performance, TM Codez does not guarantee:
SEO, paid advertising, local search, and other marketing results can depend on competition, market conditions, website quality, budgets, search engine algorithms, customer behavior, platform policies, and other factors outside our control.
When TM Codez manages advertising campaigns or third-party platforms on behalf of a client, the client remains responsible for complying with the applicable platform's policies and requirements.
Advertising costs, platform charges, media spend, software subscriptions, hosting fees, domain fees, third-party services, and other external costs are separate from TM Codez professional fees unless specifically included in a written agreement.
TM Codez is not responsible for account suspension, advertising disapproval, policy changes, service outages, algorithm changes, or other actions taken by third-party platforms.
For website design and development projects, the agreed scope of work will determine the features, pages, functionality, revisions, integrations, and other deliverables included in the project.
Additional work outside the agreed scope may require additional fees and may affect the project timeline.
The client is responsible for reviewing and approving website content, business information, images, legal notices, and other materials supplied for publication.
Unless otherwise agreed in writing, third-party costs such as domains, hosting, premium plugins, themes, software licenses, APIs, payment gateways, email services, and external subscriptions are not included in development fees.
CRM, automation, and AI-related services may depend on third-party software, APIs, integrations, data sources, and service providers.
TM Codez will make reasonable efforts to configure and maintain agreed systems, but cannot guarantee uninterrupted operation of third-party services.
Clients are responsible for ensuring that their use of CRM systems, automation workflows, customer data, AI tools, and connected platforms complies with applicable laws and the relevant provider's policies.
AI-generated or automated outputs may require human review before publication or use. Clients remain responsible for reviewing and approving business-critical content, communications, decisions, and information produced through automated systems.
Service fees will be communicated through a proposal, quotation, invoice, agreement, or other written communication.
Unless otherwise agreed:
TM Codez may pause work or suspend services when an invoice remains unpaid beyond the agreed payment deadline.
If a client fails to make a required payment on time, TM Codez may suspend ongoing work, campaigns, access to managed services, or project delivery until the outstanding amount is resolved.
Any applicable late fees, additional charges, or consequences will be determined by the relevant service agreement or invoice.
Suspension of services due to non-payment does not automatically cancel outstanding payment obligations.
Refund eligibility depends on the nature of the service, work already completed, third-party costs incurred, and the terms agreed with the client.
Because many TM Codez services involve time, professional work, account setup, strategy development, content creation, advertising management, or other services that may begin immediately, payments may be non-refundable once the corresponding work has been performed.
Any refund request should be submitted in writing.
Where a specific refund policy is included in a proposal or service agreement, that policy will take precedence for the relevant project or service.
TM Codez and its clients may exchange confidential business information during a project.
Confidential information may include:
Each party agrees to take reasonable steps to protect confidential information and use it only for legitimate business purposes related to the engagement.
Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law or a competent authority.
When clients provide TM Codez with access to websites, advertising accounts, social media accounts, Google Business Profiles, CRM systems, analytics platforms, or other services, TM Codez will use such access only for authorized work.
Clients should not provide unnecessary personal information or sensitive credentials when alternative access methods are available.
Clients remain responsible for maintaining ownership of their business accounts and ensuring that TM Codez has the appropriate permissions required to perform the agreed services.
TM Codez may use or recommend third-party services, software, platforms, plugins, hosting providers, APIs, advertising networks, analytics tools, payment services, and other external providers.
TM Codez does not control the operation, availability, pricing, policies, or security of third-party services.
Any use of third-party products or platforms may be subject to their own terms, policies, licenses, and privacy practices.
The TM Codez website and its general informational content are provided on an "as available" basis.
Although we make reasonable efforts to maintain accurate and useful information, we do not warrant that:
Information published on the website should not be treated as a guarantee of future business performance.
To the maximum extent permitted by applicable law, TM Codez and its owners, employees, contractors, affiliates, and service providers will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.
This may include losses related to:
Where liability cannot legally be excluded, it will be limited to the extent permitted by applicable law.
Clients are responsible for ensuring that materials, claims, advertisements, images, trademarks, business information, and other content they provide to TM Codez can legally be used.
Clients must not instruct TM Codez to create or publish content, advertisements, campaigns, or other materials that violate applicable laws, regulations, intellectual property rights, advertising policies, or third-party rights.
TM Codez reserves the right to refuse work that it reasonably believes may involve unlawful, deceptive, fraudulent, abusive, or prohibited activity.
Either party may terminate a service relationship according to the applicable agreement or written terms.
TM Codez may suspend or terminate services where:
Upon termination, the client remains responsible for approved work and applicable fees incurred before the termination date, unless otherwise agreed in writing.
TM Codez may occasionally modify, update, suspend, or discontinue parts of the website or services.
Service interruptions may occur because of maintenance, technical issues, hosting problems, cybersecurity incidents, third-party outages, platform changes, or circumstances beyond our reasonable control.
We will make reasonable efforts to restore affected services where practical.
TM Codez will not be responsible for delays or failure to perform obligations caused by circumstances beyond reasonable control.
Such circumstances may include natural disasters, severe technical failures, internet or telecommunications outages, government actions, cyber incidents, third-party platform failures, labor disruptions, or other events that could not reasonably have been prevented.
TM Codez may revise these Terms and Conditions when necessary to reflect changes in our services, business practices, technology, or legal requirements.
The updated version will be posted on this website with a revised "Last Updated" date.
Your continued use of the website after updated terms are published indicates your acceptance of the revised terms, to the extent permitted by applicable law.
These Terms and Conditions will be governed by and interpreted according to the applicable laws of Bangladesh, unless a separate written agreement with a client specifies otherwise.
Where a dispute cannot be resolved through good-faith discussion, the parties may pursue the dispute through the appropriate legal or judicial process available under applicable law.
If any provision of these Terms and Conditions is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally possible.
The remaining provisions will continue to apply.
These Terms and Conditions, together with any applicable proposal, quotation, invoice, service agreement, Privacy Policy, or other written agreement between TM Codez and the client, form the basis of the applicable relationship.
If a specific written service agreement conflicts with these general website terms, the specific agreement will control for that particular service or project.
If you have questions about these Terms and Conditions, your service agreement, or any issue related to the use of the TM Codez website, please contact us.
